These Terms of Service are the agreement between you and Wavrly Social LLC, a Georgia limited liability company, for use of Waverly, including its app, website, and related features. References to "Waverly," "we," "us," and "our" mean Wavrly Social LLC. Please read these Terms, our Privacy Policy, Community Guidelines, and Child Safety Standards before using the service.
These Terms are prepared for the U.S. launch. The draft status shown above means they are not yet final launch terms. Once the service is released under these Terms, you must agree to them to create an account or use account features. The Community Guidelines and Child Safety Standards form part of these Terms. The Privacy Policy explains our information practices.
Eligibility and accounts
You must be at least 18 years old, located in the United States for the intended launch, and legally able to enter this agreement. People under 18 may not use Waverly, including with parental permission. You may not use the service if doing so would violate applicable law or an applicable sanction, or if you are bypassing a restriction we imposed on you.
Provide accurate registration and eligibility information and keep your account contact information current. You may use a display name that differs from your legal name, but may not impersonate someone, misrepresent your authority, or deceive others about a company or community you represent. If you use Waverly for an organization, you must have authority to act for it and accept these Terms on its behalf.
Protect your credentials and do not share your account in a way that compromises security or bypasses our controls. Tell us promptly if you believe someone has accessed your account without permission. You are responsible for your own actions and for managing access you authorize; this does not remove rights you may have concerning unauthorized activity under applicable law.
We may ask for reasonable information to check eligibility, account ownership, or authority. Do not supply identity documents through an ordinary support form unless we specifically arrange a suitable method. Refusing information necessary to establish eligibility may prevent account access.
Using the service
Subject to these Terms, we give you a limited, personal, nonexclusive, nontransferable permission to use the app and features we make available. This permission does not transfer ownership of our software, branding, designs, or other intellectual property. Open-source components remain subject to their applicable licenses.
Follow the Community Guidelines. In particular, do not exploit or endanger children; threaten or harass people; share nonconsensual intimate content or private information; post sexually explicit content; infringe intellectual property; run scams; manipulate engagement; or interfere with service security. Rules apply to your account, profile, content, interactions, links, and use of reporting or business features. Paying for a feature does not exempt you from the rules.
Do not use automated access to bypass limits, extract nonpublic information, overwhelm the service, create deceptive accounts, or evade enforcement. Do not probe or exploit a vulnerability against other people's data. Report security concerns privately through Support without sharing access credentials or publicly exposing personal information.
Features may change, be limited, or become unavailable. We may impose reasonable limits to protect reliability, safety, or legal compliance. We do not promise uninterrupted availability, a particular audience size, a particular ranking, or access to a feature that has not been released. We will honor applicable obligations for paid products if we materially change or discontinue them.
Your content and permissions
You keep any ownership rights you have in content you create. You are responsible for having the rights and permissions necessary to post content, including photos, names, trademarks, and information about other people. Posting something that is available elsewhere on the internet does not establish permission to reuse it.
When you submit content to Waverly, you give us a nonexclusive, worldwide, royalty-free license to host, store, reproduce, process, format, transmit, and display it as reasonably necessary to operate the service, deliver the features and audiences you select, maintain security, and enforce these Terms. We may permit service providers to exercise those rights for those purposes on our behalf. Formatting includes technical changes such as resizing a profile image for different screens. The license does not transfer ownership of your content to us.
This service license is not a blanket permission to sell your content or use it in unrelated advertising. If we want permission beyond operating and providing the service as described, we will obtain it where required. You may share your own content elsewhere, subject to others' rights.
The license ends when the relevant content is deleted from our systems, except to the extent a limited retained copy is reasonably needed for a lawful purpose described in the Privacy Policy or to address a dispute about the content. Removing your content does not recall copies another person lawfully or independently retained. We will not treat that limitation as permission to continue ordinary public display after deletion.
You understand that public content may be seen, copied, or shared by others. A feed expiration or a hidden-list setting is not a confidentiality promise. You must not treat Waverly as your only backup or as an emergency communication service.
Moderation, reports, and appeals
We may review content and account activity when addressing reports, investigating abuse, or enforcing these Terms. Depending on the circumstances, we may remove content, limit visibility or features, revoke an entitlement obtained improperly, suspend an account, or end access. Serious exploitation, threats, fraud, or other urgent risks can result in action without advance warning. We may preserve relevant evidence and make legally required reports.
We consider available context, severity, repeated behavior, and risks to others. We cannot promise to identify every violation or resolve every report in a fixed period. Reporting does not guarantee removal, and disagreement with another person's views alone does not establish a violation.
Use in-app reporting where available or Support to report an account or content. If you believe an enforcement decision is wrong, request an appeal through support, identify the account or decision, and explain the relevant facts. We may limit disclosure when it would expose another person's private information, compromise security, or conflict with law. You may still exercise any review or legal rights available under applicable law.
Sponsored content and third-party services
Waverly may show sponsored content identified as advertising or sponsorship. Advertisers are responsible for their offers and claims, and an advertisement is not our endorsement. Report misleading, harmful, or prohibited ads using the reporting or support routes. Our Privacy Policy describes relevant ad selection and measurement.
Links, sign-in providers, app stores, and other third-party services have their own terms and practices. We do not control external websites or transactions you choose to enter with an advertiser or another user. Review their terms before providing information or paying. These provisions do not exclude responsibility we cannot lawfully exclude.
Paid memberships and purchases
The core service may be used without buying a membership. Paid memberships and Founders offerings are planned features; this page does not announce that checkout is available, establish a price, reserve inventory, or promise lifetime access. Only an actual offer displayed in an enabled checkout states what you can buy.
When a paid offer is available, review its features, price, billing interval, renewal terms, eligibility, and cancellation information before confirming. The checkout and applicable app-store rules govern the transaction along with these Terms. A recurring subscription renews only as disclosed in that offer and the authorization you give at purchase. Taxes or currency handling may be determined by the store. We will provide legally required notices of price or material subscription changes.
Manage or cancel a store subscription through the store where you purchased it. Deleting the app, stopping use, or requesting account deletion may not cancel a store-managed subscription. Review the Apple subscription instructions or Google Play subscription instructions as applicable. Cancellation, refund eligibility, remaining access, and any statutory rights depend on the purchase and applicable law; contact the store or support if you need help. We do not impose a blanket "no refunds" rule that overrides applicable rights.
Paid access can be affected by refunds, revoked purchases, fraud, or account enforcement. A badge or a manually assigned membership does not prove that a purchase occurred. No proposed Founders benefit is a security, investment, ownership interest in the company, or promise of financial return.
Ending your account
You can stop using Waverly at any time and request permanent account deletion through the process on Account and Data Deletion. Accepted deletion disables ordinary account use and begins a noncancelable 30-day retention period, followed by a resumable purge. This is not a promise that all deletion finishes on day 30. Legal holds and limited retention exceptions are explained in the Privacy Policy and deletion page.
If you are the sole owner of a company account, ownership may need to be transferred or another owner added before ordinary account deletion can proceed. Contact support if you cannot resolve ownership or access your account. This administrative step does not remove any privacy rights you have under law.
We may suspend or terminate access for a material violation of these Terms, a legal requirement, or a serious safety or security risk. Relevant provisions about ownership, lawful retention, disputes, and accrued payment obligations continue as necessary after access ends. Termination does not waive rights or obligations that already arose.
Copyright and other rights complaints
If you believe content infringes your rights, contact us through Support and choose copyright or intellectual property. Identify the protected work or right, the specific Waverly content and its location, your contact information, and why you are authorized to make the request. A copyright notice should include your good-faith statement that the use is unauthorized, a statement under penalty of perjury that the information is accurate and you are the owner or authorized to act, and your physical or electronic signature.
We may remove or restrict disputed content, ask for information needed to evaluate a notice, notify the affected user where appropriate, and act against repeated infringement. If your content was removed and you believe the notice was mistaken, contact support for the appropriate response process. Do not submit false notices or use a rights complaint to harass someone. Nothing here represents that every complaint is legally sufficient or guarantees a particular outcome.
Disclaimers and responsibility
To the extent permitted by applicable law, the service is provided on an "as available" and "as is" basis. We do not warrant that it will always be uninterrupted, error-free, suitable for every purpose, or free of harmful third-party content. We do not guarantee the accuracy or reliability of another user's posts or an advertiser's claims. Use your own judgment before relying on them.
To the extent permitted by law, neither party is responsible to the other for indirect or consequential losses that are not a reasonably foreseeable result of a breach of this agreement. We do not exclude liability for fraud, willful misconduct, gross negligence, or any responsibility that cannot lawfully be limited. Nothing in these Terms waives nonwaivable consumer rights or creates a blanket release for unlawful conduct.
Disputes and general terms
Please contact waverlysocialapp@gmail.com with a description of a dispute so we can try to resolve it. Contacting support does not suspend a legal deadline or require you to give up a remedy. These Terms do not impose mandatory arbitration or a class-action waiver.
Subject to nonwaivable law, Georgia law and applicable federal law govern these Terms, without using conflict-of-law rules to displace mandatory protections. Courts with jurisdiction in Glynn County, Georgia, or the applicable federal court for that area are the designated courts for disputes concerning these Terms, except where applicable law entitles you to bring a claim elsewhere, including an available small-claims court.
If a provision cannot be enforced, the remaining provisions continue to the extent permitted by law. A failure to enforce a provision immediately is not a permanent waiver. You may not transfer your account or these Terms without our permission. We may transfer the agreement in connection with a lawful business reorganization or transfer, subject to applicable law and required protections for your information.
We may revise these Terms. The published date and version identify the current text. We will provide notice of material changes and obtain renewed agreement when required. Changes will not retroactively remove rights or alter an already accrued dispute contrary to law. If you do not accept a change, you may stop using the service and request deletion, subject to rights and obligations that already arose.
